Terms & Conditions 

1. Introduction 

These Terms and Conditions (“Terms”) apply to the payroll and payment facilitation services (“Service”) provided by BoostPay Ltd (“BoostPay”) in connection with the bill pay payment solution (the “Service”). By using the Service, the Client agrees to comply with these Terms. 

2. Service Overview 

2.1 BoostPay enables Clients to fund payroll and other approved business costs via their business credit card. 

2.2. BoostPay receives the total payment (including applicable service fees) and disburses individual payments to employees, HMRC, suppliers and other authorised recipients on behalf of the Client. 

2.3.Payments to any company director or shareholder, whether directly or indirectly and whether by way of remuneration, distribution, loan or otherwise, shall be strictly prohibited under the Service. 

2.4. In the event that BoostPay, acting in its absolute discretion, identifies or reasonably suspects that the Client is involved in money laundering, the facilitation of criminal property, or any other unlawful activity, BoostPay may immediately suspend or terminate the Client’s access to the Service without notice or explanation. BoostPay shall be entitled to disclose any such suspicions, together with the basis for them, to the appropriate law enforcement or regulatory bodies as required in order to comply with its statutory and regulatory obligations. 

3. Client Responsibilities 

3.1 The Client must hold a valid business credit card with sufficient credit limit. 

3.2 Full payment to BoostPay must be made no later than four (4) business days before scheduled disbursement. 

3.3 The Client must ensure all payroll, HMRC and payment data is accurate and complete. 

3.4 The Client remains fully responsible for all tax, employment, and financial compliance obligations. 


4. Fees and Charges 

A service fee will be applied per transaction, as agreed in advance. Fees are non-refundable once processing has commenced. 

5. Liability 

BoostPay shall not be liable for any delay, failed payment, or loss arising from inaccurate Client data, card limitations, or events beyond its reasonable control. BoostPay’s total liability shall not exceed the total service fees paid by the Client for the affected transaction. 

6. Reward Points & Tax 

Reward Points, Loyalty Points or similar are issued by certain business credit card providers and subject to their terms. BoostPay accepts no responsibility for point accrual, redemption, or associated tax implications. Clients should seek independent tax advice regarding any benefits. 

7. Data Protection 

BoostPay processes Client data securely and in accordance with UK GDPR and all applicable data protection legislation. 

8. Termination 

Either party may terminate the Service by written notice. Any transactions already initiated will be completed under these Terms. 

9. Governing Law 

These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
